1. General. These CLEAR Gift Card Terms ("Gift Card Terms") apply, as between you and CLEAR, to the purchase, receipt, and redemption of CLEAR gift cards ("Gift Cards"). "CLEAR," "we," and "us" mean Clear Secure, Inc. and its subsidiaries and affiliates. By purchasing, accepting, linking, or redeeming a Gift Card, you agree to these Gift Card Terms, whether or not you are a CLEAR Member. The CLEAR Member Terms https://www.clearme.com/member-terms ("Member Terms") and Privacy Policy www.clearme.com/privacy-policy are incorporated by reference. These Gift Card Terms are a separate agreement from the Card Terms (defined in Section 2); the Card Terms do not modify these Gift Card Terms or the Member Terms. If these Gift Card Terms conflict with the Member Terms, these Gift Card Terms control with respect to Gift Cards, except that the Privacy Policy controls as to Personal Data. IMPORTANT: THESE GIFT CARD TERMS CONTAIN A MANDATORY ARBITRATION PROVISION (SECTION 13) THAT REQUIRES DISPUTES WITH CLEAR TO BE RESOLVED BY INDIVIDUAL ARBITRATION. YOU AND CLEAR ARE EACH GIVING UP THE RIGHT TO SUE IN COURT, TO A JURY TRIAL, AND TO PARTICIPATE IN A CLASS ACTION.

2. Who Provides What. Gift Cards are sold by GroupGifting.com, Inc. d/b/a eGifter ("eGifter") and issued by TGCM CLRM, LLC ("Totus"). eGifter and Totus each provide their services under their own terms of service and privacy policies (eGifter Privacy Policy; Totus Privacy Policy), and Totus's Gift Card Terms and Conditions set forth in the first section above and its other cardholder legal disclosures (together, "Card Terms") govern the Gift Card itself. CLEAR does not sell or issue Gift Cards or hold Gift Card funds, and is not responsible for eGifter's or Totus's services, terms, or privacy practices. eGifter operates the CLEAR gift card storefront, is the seller and merchant of record, and is responsible for the purchase, payment, delivery, re-sends, and purchase disputes and refunds. Totus is the issuer, holds Gift Card funds, is solely liable for Gift Card balances, and provides cardholder customer service, including card status, replacements, fraud, expiration, cash-back, and unclaimed property. CLEAR accepts Gift Cards as payment toward eligible CLEAR+ transactions and supports redemption and CLEAR+ and CLEAR Concierge questions.

3. Purchase. Gift Cards are digital only and may be purchased only from eGifter's CLEAR storefront clearme.totuscards.com or other channels CLEAR expressly authorizes. Gift Cards purchased from unauthorized sellers may be void. Bulk or corporate purchases must be made through Totus' authorized business channels.

4. Redemption. Gift Cards may be redeemed only toward eligible CLEAR+ purchases, renewals, and family-add transactions through supported CLEAR web and mobile experiences. Gift Cards are not currently redeemable at airport pods, kiosks, or enrollment locations, or for CLEAR Concierge or other services. Eligible transactions and redemption channels may change at CLEAR's discretion. Redemption requires a CLEAR account and a valid payment method on file. Any amount not covered by a Gift Card, including at renewal, will be charged to your payment method on file. Any unused balance remains on the Gift Card. Gift Card value cannot be converted to CLEAR credit or redeemed for cash except as required by applicable law and the Card Terms. Gift Cards cannot be used to purchase other gift cards. The balance shown in your CLEAR account is provided by Totus's systems and may not reflect very recent activity.

5. Refunds. Gift Cards are not returnable or refundable by CLEAR. Purchase refunds and cancellations, including where a recipient has not redeemed a Gift Card, are handled by eGifter. Cash-back requests for a remaining Gift Card balance are handled by Totus under the Card Terms. Refunds of CLEAR+ fees themselves are governed by the Member Terms; eligible refunds are returned to the original payment methods, with the Gift Card portion returned to the original Gift Card.

6. Expiration and Cash-Back. Gift Cards do not expire and are not redeemable for cash except as required by law or as provided in the Card Terms. Cash-back requests, including Totus's offer to refund remaining balances of $15.00 or less, are handled solely by Totus under the Card Terms at 866-258-3143 or clear@giftcardhelp.com.

7. Prohibited Uses. You may not: (a) sell, auction, or exchange a Gift Card for cash or value, or buy one from an unauthorized seller; (b) use Gift Cards in promotions, marketing, or incentive programs, or as payment for a business purpose, without CLEAR's prior written consent; (c) redeem a Gift Card you did not purchase or receive as the intended recipient, or obtain or use a Gift Card through fraud or other unlawful means; (d) guess, copy, or test card numbers or PINs, or use bots or similar tools to check balances or redeem; (e) link a Gift Card to more than one CLEAR account; (f) tamper with or counterfeit a Gift Card or its delivery; or (g) use a Gift Card for any illegal purpose. CLEAR may refuse, decline, or reverse transactions, unlink Gift Cards, and suspend or terminate accounts under the Member Terms, and Totus may refuse to honor or disable Gift Cards under the Card Terms.

8. No Affiliation; Trademarks. You may not use CLEAR's name, logos, trademarks, or Gift Card images in connection with the sale or promotion of Gift Cards, or use Gift Cards in a way that implies CLEAR's endorsement or affiliation, without CLEAR's prior written consent.

9. Lost or Stolen Gift Cards; Scams. Treat Gift Cards like cash. CLEAR does not replace lost or stolen Gift Cards and is not liable for lost or stolen Gift Cards, use by anyone to whom you provide the card number and PIN, or unauthorized use through your account. Report lost or stolen Gift Cards to Totus who is responsible for support. CLEAR will never ask you to pay a fine, tax, or debt with a Gift Card; such requests are scams.

10. Customer Support. Each company supports its own part of the Gift Card program. CLEAR cannot resolve purchase or card issues on behalf of eGifter or Totus.

11. Disclaimer and Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIFT CARDS AND CLEAR'S REDEMPTION SERVICES ARE PROVIDED "AS IS," AND CLEAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. CLEAR IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF EGIFTER, TOTUS, OR THEIR SERVICE PROVIDERS, OR FOR ANY DELAY, ERROR, OR FAILURE IN THE DELIVERY, ACTIVATION, BALANCE, OR STATUS OF A GIFT CARD. CLEAR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO GIFT CARDS OR THESE GIFT CARD TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF GIFT CARD VALUE YOU REDEEMED WITH CLEAR IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100), AND CLEAR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU. NOTHING IN THESE GIFT CARD TERMS AFFECTS RIGHTS THAT CANNOT BE WAIVED UNDER APPLICABLE LAW.

12. Indemnification. To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CLEAR and its affiliates and their officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your fraud, misuse of a Gift Card, or violation of these Gift Card Terms.

13. Disputes and Arbitration. Any dispute between you and CLEAR arising out of or relating to Gift Cards or these Gift Card Terms, including your purchase, acceptance, linking, or redemption of a Gift Card, will be resolved exclusively by final and binding individual arbitration, and not in court, except that either party may bring an individual claim in small claims court. YOU AND CLEAR WAIVE ANY RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitration will be governed by the Federal Arbitration Act and conducted under, and subject to the pre-arbitration notice, procedures, fees, multiple-filing (bellwether), and severability provisions of, Section 5.4 of the Member Terms, which apply to you whether or not you are a CLEAR Member. This Section does not apply to disputes with eGifter or Totus, which are governed by their terms, and the arbitration, governing law, and venue provisions of the Card Terms do not apply to any dispute between you and CLEAR.

14. Governing Law. Subject to Section 13 and your rights as a consumer, any dispute between you and CLEAR are governed by the laws of the State of New York, without regard to conflict-of-law principles.

15. Changes. CLEAR may update these Gift Card Terms or modify or discontinue its acceptance of Gift Cards, including eligible transactions and redemption locations, to the extent permitted by applicable law and these Gift Card Terms. Changes will be posted with a new "Last Updated" date and will not reduce the value of an issued Gift Card.
